The Convention is now in force in more than 70 states and there are thousands of decisions by courts and arbitral tribunals that apply the rules of the Convention with the numbers increasing each year. As well as growing case law there are numerous books and innumerable contributions by scholars and practitioners on the Convention and its various topics and problems. Moreover, the CISG has had a great influence on modern domestic laws, such as the German Law of Obligations and the codifications in former Socialist states as well as on projects to unify the law, for example the UNIDROIT Principles for International Commercial Contracts, the European Principles of Contract Law and most recently the European Draft Common Frame of Reference. This is the third English edition of the Commentary on the UN Convention on the International Sale of Goods (CISG), the first having published in 1998. It is based on a broad comparative analysis of decisions and scholarly contributions from all states which have enacted the Convention. The contributors to this book, all being experts in their respective fields, base their analysis on the conviction that understanding and interpretation of the Convention requires close comparison and careful consideration of judicial and scholarly views from all jurisdictions. The previous editions of this Commentary have become an important source for the reading and explanation of the Convention, and are frequently cited by legal writers, courts and tribunals from all over the world. Since the second edition of the Commentary published in March 2005 10 countries including Japan have acceded to the CISG, Turkey is about to ratify it, and the UK is now the only important trading nation that is not party to the Convention. The recent reporting of 273 CIETAC awards on the CISG not only demonstrates the level of litigious activity in the field but also sheds light on the Chinese perspective on the Convention. This third edition of the Commentary comments on major decisions in international case law and the impact of developments in domestic law on an international level. The Commentary also considers the new opinions of the CISG Advisory Council (CISG-AC) on important issues such as the buyer's right to avoid the contract in case of non-conforming goods or documents, the calculation of damages under CISG, Art 74, the exemption of liability for damages under CISG, Art 79, and the calculation of damages under CISG, Arts 75 and 76. It provides the basis for transnational sales transactions in about 50 countries, including most of the EU member states, the USA, Canada, Australia, New Zealand and China. The United Nations Uniform Sales Law is applied by courts and arbitration tribunals around the world. Individual jurisdiction's domestic laws are based on the UN Sales Law and it has influenced numerous modern codes, making the Convention an indispensable source for scholars and practitioners dealing with sales law worldwide. This commentary is a translation of the second edition of the German "Kommentar zum Einheitlichen UN-Kaufrecht - CISG" published in 1995. This English edition has been brought totally up to date, including case law up to the Spring of 1997. The team of authors - experts in their respective fields, several of whom were involved in the drafting of the Convention itself - provide a commentary on each article, describing its history, underlying policies and connections with other articles, analysing key scholarly views and court decisions and dealing with the article itself. The Convention was prepared by the United Nations Commission on International Trade Law (UNCITRAL) and adopted by a diplomatic conference on 11 April 1980. Since then, the number of countries that have adopted the CISG account for over two-thirds of all world trade. The area of international sales law continues to grow as technology and development takes us to a global economy. As such, the study of the CISG has become an integral component of this ever-growing area of international commercial law. The Pace International Law Review edits the Review of the Convention on Contracts for the International Sales of Goods (CISG), a book published by Kluwer Law International. The Review of the CISG is published once yearly and features articles written by prominent legal scholars in the field of international sale of goods from around the world. In addition to scholarly writings analyzing the various articles of the CISG, the book seeks to compile translations of recent decisions as well as commentaries of notable cases relating to the CISG. The Review of the CISG provides both a forum for legal discussion within the international legal community in the area of international sales law and as an authoritative source of reference for international scholars. Sources du droit et ouvrages généraux en droitMots-clés : CISG CVIM convention on contracts for the international sale of goods vente internationale de marchandises Index. décimale : 000 - pas d'indexation décimale connue Résumé : Also sometimes referred to as the Vienna Sales Convention, the Convention on Contracts for the International Sale of Goods (CISG) regulates the rights of buyers and sellers in international sales. The Convention, which first entered into effect in 1988, is the first sales law treaty to win acceptance on a worldwide scale. The current list of Contracting States includes 11 of the G-12 Group, as well as China and Russia. CISG Contracting States account for more than two-thirds of all world trade. The importance of the CISG in the international arena is underlined by thousands of reported decisions where the CISG has been held to apply, thus evidencing the conduct of countless international traders who by default or by express choice regularly subject their sales contracts to the Convention. The CISG has also impacted on sales legislation at national and regional (e.g. EU) levels. The CISG treaty demands an international interpretation, and this fully updated Fourth (Worldwide) Edition draws upon the full range of secondary Convention sources, including worldwide case law and scholarly opinion. Concrete examples are provided throughout. With this book as their guide, lawyers and students who need to understand international sales contracts and sales contract disputes will confidently navigate topic areas such as the following: Freedom of contract under Article 6; Interpretation of the Convention and of CISG contracts; Sales contract formation, validity, defenses to enforcement; Liability exemptions; Obligations of the parties, including conforming delivery & notice of non-conformity; Liability and remedies for breach, including specific performance, damages, avoidance; Key reservations under Articles 92-96. Joseph Lookofsky is Professor of Law at the University of Copenhagen. In addition to his Danish law degrees, he holds a J.D. degree from the New York University School of Law. He is a Member of the New York State Bar and former in-house counsel for United Artists Corporation.
